  • "Services": Includes web development, digital marketing, WhatsApp/Telegram automation, SEO, PPC, social media management, and related offerings
  • "Agreement": Refers to these Terms & Conditions and any signed Statement of Work (SOW)

2. Acceptance of Terms

By using our website, filling out a form, or engaging our services, you acknowledge that you have read, understood, and agree to these Terms & Conditions. If you do not agree, please do not use our website or services.

3. Services & Project Agreements

All services are governed by individual project agreements (Statements of Work or SOWs) that outline:

  • Scope of work, deliverables, and timelines
  • Pricing, payment terms, and milestones
  • Client responsibilities and approvals
  • Testing, acceptance, and launch criteria
  • Warranty and support periods

The SOW takes precedence over these general terms in case of conflict.

4. Intellectual Property

Ownership of Deliverables

Upon full payment, all deliverables (websites, code, design assets, strategies, content) become the property of the Client. VRUUSHAL retains the right to use the deliverables for portfolio and promotional purposes unless otherwise agreed in writing.

Third-Party Assets

Any third-party software, plugins, fonts, images, or tools used in the project remain the property of their respective owners and are subject to their licenses.

5. Payment Terms

  • Deposit: A non-refundable deposit of 50% is required before project initiation, unless otherwise specified in the SOW.
  • Balance Payment: Remaining 50% is due upon project completion and before final delivery or launch.
  • Monthly Retainers: Ongoing services (marketing, maintenance) are billed monthly in advance.
  • Ad Spend: Advertising budgets are paid directly to the platform (Google, Meta, etc.) by the client or as agreed in the SOW.
  • Late Payments: A 1.5% monthly late fee may apply to overdue invoices. Services may be paused for accounts overdue beyond 30 days.

6. Client Responsibilities

To ensure successful project delivery, you agree to:

  • Provide timely feedback, content, approvals, and required access
  • Supply accurate, complete, and up-to-date information
  • Comply with all applicable laws, regulations, and platform policies
  • Secure all necessary permissions for content, images, and third-party assets you provide
  • Maintain appropriate backups of your data and content

7. Warranties & Disclaimers

Our Warranty

We guarantee that our deliverables will conform to the specifications outlined in the SOW and will function as described. We provide a 30-day warranty period for bug fixes and minor adjustments post-launch.

Disclaimer

While we strive for excellence, we cannot guarantee specific outcomes such as search rankings, traffic volume, conversion rates, or sales. Results depend on market conditions, competition, and other external factors beyond our control. All services are provided "as is" without warranties of any kind, except as explicitly stated.

8. Limitation of Liability

To the maximum extent permitted by law, VRUUSHAL shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Claims arising from third-party services, platforms, or integrations
  • Any damages exceeding the total amount paid by you for the specific service in question

This limitation applies regardless of the legal theory (contract, tort, negligence, etc.).

9. Termination

Either party may terminate the project agreement with written notice. In case of termination:

  • Client is responsible for payment for work completed up to the termination date
  • VRUUSHAL will deliver all completed work produced to date
  • Any deposits are non-refundable for work already in progress

10. Confidentiality

Both parties agree to keep confidential all proprietary information, business strategies, and trade secrets shared during the engagement. This obligation survives the termination of the agreement.

11. Independent Contractor

VRUUSHAL operates as an independent contractor. Nothing in this agreement creates an employer-employee, partnership, or joint venture relationship.

12. Governing Law

These Terms & Conditions are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be resolved in the competent courts of Maharashtra, India.

13. Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet disruptions, or platform outages.

14. Modifications

We reserve the right to update these Terms & Conditions at any time. Changes will be posted on this page with an updated date. Your continued use of our services constitutes acceptance of the revised terms.

Terms FAQs

Payment structure?
We follow a milestone-based payment structure: 50% non-refundable deposit is required before project initiation, and the remaining 50% is due upon project completion before final delivery. For monthly retainers, we bill in advance at the start of each month. For advertising campaigns, ad spend is paid directly to the platform (Google, Meta, etc.) by the client or as agreed in the SOW. All payment terms are clearly outlined in your service agreement and Statement of Work.
What happens if I'm not satisfied?
We offer a revision phase for all deliverables. Our goal is your complete satisfaction, and we work closely until you're happy. We provide 30 days of post-launch support for bug fixes and minor adjustments. If we fail to meet the agreed scope and deliverables specified in the SOW, we provide refunds as per our service guarantee policy. Client satisfaction is our top priority and we maintain open communication throughout the project to ensure expectations are met.
